Disclosure Policy


1.Basic Policy

To ensure management transparency, the IDEC Group's basic policy is to disclose information to shareholders, investors, and other stakeholders in a fair, transparent, and timely manner in accordance with the Financial Instruments and Exchange Law and other relevant laws and regulations, as well as the listing rules of the Tokyo Stock Exchange.
We will also strive to disclose as much information as possible that we deem useful to our stakeholders and promote constructive dialogue.


2.Methods of Disclosure

The IDEC Group discloses information subject to the Timely Disclosure Rules through the Timely Disclosure network (TDnet) provided by the Tokyo Stock Exchange, and also promptly posts such information on IDEC's website.
In addition, information that does not fall under the timely disclosure rules, etc., will also be disclosed on the website.


3.Prevention of Insider Trading

The IDEC Group has established rules for the prevention of insider trading as an operational guideline for the disclosure of material facts and management standards regarding inside information.
We also focus on training directors and employees to ensure thorough operation regarding insider information management.


4.Silent Period

In order to prevent leaks of financial information and ensure the fairness of information, the IDEC Group observes a silent period from the day following the financial closing date to the day of the announcement of financial results. During this period, we will refrain from answering or commenting on questions related to financial results and performance.
However, if during this period, there is a significant change in the earnings forecast or any other matter that falls under the standards for timely disclosure, information will be disclosed in accordance with the Timely Disclosure Rules.


5.Future Outlook

Information disclosed by the IDEC Group regarding future prospects, such as earnings forecasts and medium-term management plans, is based on information available at the time of disclosure and includes risks and uncertainties.
